These Terms govern your use of the OrderZ platform as a merchant — the owner or staff member of a store built with OrderZ (restaurant, online store, POS kiosk, or service business). They don't cover your own customers' relationship with your store — see our Data Processing Agreement and Privacy Policy for how data protection responsibility is split.
The terms "OrderZ", "the Company", "us", or "we" refer to the owner of the Platform. The term "you" or "merchant" refers to any business or individual enrolled or registered on this Platform. OrderZ operates a dual-model platform offering cloud software, point-of-sale (POS) operating software, self-ordering kiosks, and online storefronts. Use of the Platform is subject to the following terms of use.
By registering for an account or using any OrderZ services, you accept these Terms and Conditions and agree to be legally bound by them. If you do not agree to these terms, you must cease using the Platform immediately.
Offline Sync & Caching Liability: OrderZ POS features an offline caching mode designed to allow temporary offline order entry during network dropouts. You acknowledge that offline operation relies on local device storage and cached data. OrderZ is not liable for data loss, caching delays, local device storage limits, hardware/device failure, or price and inventory discrepancies occurring prior to full server synchronization. Merchants are responsible for maintaining a reliable internet connection and verifying that offline transactions synchronize successfully upon reconnecting.
Hardware & Peripherals Support Boundaries: OrderZ software subscription fees cover access to cloud software and mobile/tablet POS applications only. Any physical hardware, terminals, receipt printers, kitchen display units, cash drawers, or self-service kiosks ("Peripherals") purchased from OrderZ or third-party vendors are governed by their respective manufacturer warranties and hardware sale terms. OrderZ does not warrant uninterrupted hardware performance, and hardware defects or failures do not create liability under software subscription plans.
Service Availability & SLA: OrderZ makes commercially reasonable efforts to ensure 99.5% platform availability. Scheduled maintenance windows are performed during off-peak hours whenever possible, with advance notification posted on the platform dashboard.
Downtime & Revenue Loss Disclaimer: In the event of unexpected platform downtime, cloud infrastructure outages, third-party network failures, or peak-hour operational delays, OrderZ's liability is strictly limited to the proportional subscription fee paid for the affected downtime period. OrderZ explicitly disclaims all liability for indirect, special, incidental, or consequential losses, including but not limited to loss of restaurant revenue, food waste, missed orders, or customer dissatisfaction.
Merchant vs. End-Customer Dispute Allocation: OrderZ acts solely as a software technology provider enabling merchants to manage storefronts and POS operations. OrderZ is not a party to any contract or transaction between a merchant and their end-customers (diners/shoppers). The merchant remains solely and exclusively responsible for order fulfillment, product quality, food safety, pricing accuracy, refunds, cancellations, chargebacks, and compliance with local consumer protection laws.
You must use the Platform for lawful commercial purposes only. You agree not to list, sell, or promote prohibited goods or services on your OrderZ store or POS, including but not limited to: counterfeit products, unauthorized age-restricted items (unlicensed alcohol, tobacco, or vaporizers), weapons, illegal substances, explicit sexual content, or fraudulent schemes.
OrderZ reserves the right, at its sole discretion, to immediately suspend or terminate any merchant store or account found violating this Acceptable Use Policy without prior notice or refund.
Integrated payment gateways (e.g. Stripe, HitPay, PayNow, GrabPay, Allinpay, or credit card processors) are provided by independent third-party financial institutions. Payment processing fees, merchant payout schedules, reserve holds, and chargeback disputes are governed directly by the respective payment gateway's terms of service. OrderZ is not liable for payment processing errors, delayed payouts, gateway fee modifications, or chargeback deductions enforced by third-party payment processors.
Billing & Renewal: Subscriptions are billed on a recurring monthly or annual basis as selected during signup. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. Payment must be cleared in full for service continuation.
Payment Failure & Grace Period: If a recurring payment fails, OrderZ will attempt re-billing over a 7-day grace period. If payment remains unpaid after the grace period, OrderZ reserves the right to gracefully suspend store operations and POS access until billing is resolved.
Account Cancellation: You may cancel your subscription at any time through your store dashboard or by contacting support. No pro-rated refunds are issued for mid-cycle cancellations.
Data Portability Buffer (30 Days): Upon subscription cancellation or plan termination, OrderZ grants a 30-day data portability buffer period. During these 30 days, you retain access to export your product catalogs, customer lists, order histories, and sales reports using platform export tools. After the 30-day buffer expires, OrderZ will permanently purge or anonymize store data in accordance with our Data Processing Agreement.
Force Majeure: Neither party is liable for failure or delay in performing obligations caused by events beyond reasonable control, including acts of God, telecommunication failures, cyberattacks, or government restrictions.
Alterations to Terms: OrderZ reserves the right to modify these Terms at any time by publishing updated terms on this page. Continued use of the Platform after changes are published constitutes acceptance of the revised Terms.
